Terms of Service

1. Acceptance of Terms & Modifications

By accessing or using ShowSphere, you accept and agree to be bound by these Terms of Service. By using the Platform, you represent that you are capable of entering into a binding agreement, and that you agree to be bound by these Terms of Service. Use of the Platform is strictly voluntary. IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE AND OUR PRIVACY POLICY, YOU MUST IMMEDIATELY LEAVE THE PLATFORM AND MAY NOT USE THE PLATFORM. ShowSphere may modify these Terms from time to time by posting revised Terms on the Platform. Where required by applicable law, ShowSphere will provide additional notice of material changes. Continued use of the Platform after revised Terms become effective constitutes acceptance of those Terms.

2. Eligibility & Account Registration

You represent that all information you provide to us is accurate, current, and complete, and you agree to update such information as necessary to maintain its accuracy. ShowSphere is not responsible for consequences resulting from inaccurate or incomplete information provided by Platform users and may suspend or terminate accounts containing false or unverifiable information. Platform accounts may only be created and managed by individuals 18 years of age or older. A parent or legal guardian may use the Platform on behalf of a minor so long as they can represent that he or she has authority to do so.

3. Transaction Fees, Payment Processing & Refunds

Dues, participation fees, and other club-related, activity-related, event-related, or service-related charges are subject to the fee schedules, and cancellation and refund policies of the club, secretary, superintendent, event manager, event service provider, or other person or organization (collectively the "Club/Activity/Event/Service Owner") using the Platform. The Platform service and processing fees are non-refundable except in cases of confirmed Platform error or as otherwise required by law. Payment processing may be provided by third-party payment processors and may be subject to their applicable terms.

4. Platform Subscription Billing, Auto-Renewal, & Cancellation

Platform subscriptions automatically renew at the then-current subscription price unless cancelled. Applicable pricing, billing frequency, and renewal terms will be disclosed at the time of purchase. Cancellation stops future renewals but does not relieve the subscriber of payment obligations through the end of the current billing period, except as otherwise required by law. Platform subscription cancellation requests may be submitted through the cancellation method provided by or through the Platform, or by contacting ShowSphere directly at support@showsphere.dog.

5. Cancellations, Postponements & Force Majeure

ShowSphere provides technology via its Platform, which is used by clubs, secretaries, superintendents, event managers, service providers, exhibitors, and other participants and does not itself organize or control clubs, activities, or events unless expressly stated otherwise. ShowSphere is not responsible for activity or event cancellations, postponements, schedule changes, venue conditions, weather, acts of God, governmental actions, or other circumstances outside of our reasonable control. Refunds relating to club-related, activity-related, and event-related charges and fees are governed by the applicable Club/Activity/Event/Service Owner’s published policies.

6. Governing Body Rules

Use of the Platform does not modify, waive, replace, or supersede the rules, regulations, policies, eligibility requirements, deadlines, or decisions of any applicable sanctioning or governing organization, including the American Kennel Club. Users are responsible for knowing and complying with all applicable requirements. ShowSphere is not responsible for user noncompliance with governing-body or club rules.

7. Dog Health, Vaccination & Eligibility Attestations

ShowSphere may facilitate the collection or transmission of information concerning a dog's health, vaccination status, registration, ownership, eligibility, or other qualifications. ShowSphere does not independently verify such information and makes no representation or warranty concerning its accuracy. The individual providing the information is responsible for its accuracy and for compliance with applicable laws and the requirements of the applicable Club/Activity/Event/Service Owner and governing body.

8. Use of the Platform

If you have a user account on the Platform, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to maintain accurate, complete, and up-to-date information in your user account on the Platform. You agree to accept responsibility for all activities that occur under your account or password. We reserve the right, without notice and in our sole discretion, to suspend or terminate your access to the Platform and to refuse or restrict access or service, terminate accounts, and to remove or edit content on the Platform. If we, in our sole reasonable determination, believe that you have violated any of these Terms of Service, we may suspend or terminate your account.

9. Restrictions

You may not: (i) reproduce, modify, prepare derivative works based upon, translate, tamper with, distribute, sublicense, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Platform except as expressly permitted by us; (ii) reverse engineer, disassemble, or decompile the Platform or apply any other process or procedure to derive the source code of any software included in the Platform; (iii) use the Platform in a manner that interferes with other users' use of the Platform; (iv) link to, mirror or frame any portion of the Platform; or (v) attempt to gain unauthorized access to or impair any aspect of the Platform or its related systems or networks.

As a visitor or user of the Platform you shall not:

• violate any applicable law or regulation;
• upload, post, use, transmit, or otherwise make available, including by email, any content or information that is false or inaccurate;
• post any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, or content that could otherwise be considered to be objectionable;
• post any publicly available content that is subject to any disclosure restrictions;
• post any materials, items, information or content that infringes or otherwise violates any patent, copyright, trademark, or any other intellectual property rights;
• post any unsolicited or unauthorized advertising or promotional materials, including without limitation, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation;
• post any material that contains software viruses or any other corrupt computer code, files or programs that impair the use of any computer software or hardware or telecommunications equipment;
• impersonate or use the identity of another person or organization, or falsely state or otherwise misrepresent your affiliation with a person or organization;
• engage in any activities or manipulate identifying material to misrepresent the origin of content;
• use the Platform for any activity that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, or information or content that could otherwise be considered to be objectionable;
• interfere with or otherwise limit the use of the Platform by other users;
• collect, compile, or store personal information about other users of the Platform;
• disrupt or interfere with the security of, operation of, or otherwise cause harm, as they pertain to the Platform, to accounts, usernames and passwords, servers, or networks connected to or accessible through the Platform or any affiliated or linked sites;
• modify, reverse engineer, disassemble, decompile, translate, create derivative works from, or otherwise alter the Platform;
• use the Platform in a manner that could cause us to violate any law, rule or regulation;
• use any robot, spider, scripts, other automatic device, or manual process to “screen scrape,” monitor, “mine,” or copy the web pages on the Platform or the content contained therein without our prior, express, and written permission; or
• use the Platform for your own commercial purposes.

10. Assumption of Risk

The Platform provides software and technology services and is not responsible for the operation, supervision, safety, or security of clubs, activities, or events. Participation in dog-related activities may involve risks to people, animals, and property. Users and participants assume the risks associated with their participation and should look to the applicable Club/Activity/Event/Service Owner, venue, or governing body regarding on-site safety and event operations.

11. Service Availability, Uptime & Technical Failures

ShowSphere seeks to provide reliable Platform availability and will provide advance notice of planned maintenance when reasonably practicable. ShowSphere does not guarantee uninterrupted or error-free operation. In the event of a verified Platform failure affecting a transaction, ShowSphere will use commercially reasonable efforts to assist the affected user, including, where appropriate, communicating with the applicable Club/Activity/Event/Service Owner. ShowSphere cannot guarantee acceptance of a transaction or other resolution controlled by a third party.

12. Intellectual Property Ownership

The Platform, including its software, content, technology, design, interfaces, trademarks, service marks, trade dress, “look and feel”, branding, proprietary processes, and underlying data structures, is owned by or licensed to ShowSphere and is protected by applicable intellectual property laws. In addition, the compilation (meaning the collection, arrangement, and assembly) of all content on the Platform is our exclusive property and protected by U.S. and international copyright laws.

Subject to these Terms, users receive a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely for its intended purposes. Any other use, including the reproduction, modification, distribution, transmission, republication, display, or performance, of the Platform or intellectual property affiliated with or incorporated into the Platform is strictly prohibited without our written permission. Nothing on the Platform shall be construed as granting, by implication, estoppel or otherwise, any license or right to use any of our intellectual property displayed on Platform, without our prior written permission. Other product and company names mentioned on the Platform may be the trademarks of their respective owners.

All other intellectual property rights related to the content, software, and technology included on the Platform or used in the operation of the Platform, including without limitation, patents, trade secrets, trade dress, publicity rights, character rights, titles, and artistic and moral rights are our owned or licensed property. Any use of these rights without our prior written permission is strictly prohibited.

We or our licensors own and reserve all right, title, and interest in and to the Platform. These Terms of Service do not grant you any rights in or to the Platform or any of its components except for the limited rights to use the Platform expressly granted by these Terms of Service.

13. User Content, Photos & Results Publicity License

Users retain ownership of and are solely responsible for photographs, profiles, dog information, pedigrees, club, activity, and event information, results, and other content they submit, make available, or upload to the Platform ("User Content"). Although we have no obligation to screen, edit or monitor any of the User Content or user conduct on the Site, we reserve the right, and have absolute discretion, to remove, screen or edit any User Content and to monitor any user conduct on the Site at any time and for any reason without notice. By submitting User Content, you grant ShowSphere a non-exclusive, worldwide, perpetual, transferable, royalty-free license to host, use, store, reproduce, modify, edit, adapt, publish, translate, display, distribute, format, sell, sublicense, create derivative works and compilations incorporating your User Content, and to otherwise use that Content as reasonably necessary to operate, improve, promote, and provide the Platform and related services. By posting or transmitting User Content to the Platform, you represent and warrant that: (i) the User Content is non-confidential; (ii) you have the rights and permissions necessary to submit such Content and to grant us the rights you grant us in these Terms of Service; (iii) the User Content is accurate and not misleading or harmful in any manner; and (iv) the User Content, and your use and submission, transmission, or uploading thereof in connection with the Platform, does not and will not violate these Terms of Service or any applicable local, state, national or international statute, regulation, or law. ShowSphere may display information customarily made public in connection with dog clubs, activities, and events, including dog names, breeds, ownership or handler information, participation, placements, awards, and results.

14. Copyright Infringement Claims

If you believe that any content on the Platform infringes your copyright, please send a notice to ShowSphere at support@showsphere.dog containing: (i) a description of the copyrighted work you claim has been infringed; (ii) identification of the material you claim is infringing and its location on the Platform; (iii) your contact information, including address, telephone number, and email address; (iv) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; (v) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and (vi) your physical or electronic signature. ShowSphere will respond to valid notices of claimed infringement in accordance with applicable law, including the Digital Millennium Copyright Act.

15. Data Privacy

ShowSphere's collection, use, storage, sharing, and protection of personal information is governed by the ShowSphere Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge the practices described in the Privacy Policy. Where a user provides information concerning another person, including a minor, the user represents that he or she has the authority or legally sufficient permission to provide that information. ShowSphere does not knowingly permit individuals under 18 to create or manage Platform accounts. Additional provisions concerning information relating to minors are described in the Privacy Policy.

16. Consent to Contact

By using the Platform or providing your email address or other contact information to us, you consent to receive electronic communications from ShowSphere, including emails, texts, and push notifications regarding the Platform, your account, transactions, and promotional materials. You may opt out of promotional communications by following the unsubscribe instructions in such communications, but you may not opt out of transactional or administrative communications related to your account or use of the Platform.

17. Text messages

ShowSphere sends two kinds of text message, and only when you have asked for them. One is a sign-in code, which you turn on yourself under "Text message sign-in codes" on your account page. The other is an event-day notice about an event you bought a service for — a ring running late, a check-in that moved — which you agree to by ticking "Text and email me about event-day updates." at that club's checkout. Neither box is ticked for you, and a club accepts your order whether or not you tick it.

Message frequency varies: one code each time you sign in with codes turned on, and a handful of notices around an event you hold a service at. Message and data rates may apply.

Reply STOP to any message to stop receiving texts, and START to begin again. Reply HELP for help, or write to support@showsphere.dog. Stopping texts does not close your account or cancel an order. If you stop sign-in codes with codes turned on, write to support@showsphere.dog and we will turn them off for you.

Mobile carriers are not liable for delayed or undelivered messages.

We do not share, sell, or provide your mobile phone number or messaging consent data to third parties or affiliates for marketing or promotional purposes.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOWSPHERE AND ITS SERVICES, INCLUDING PROVISION AND OPERATION OF THE PLATFORM, ARE PROVIDED "AS IS, WITH ALL DEFECTS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SHOWSPHERE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, ACCURACY OF INFORMATIONAL CONTENT, QUIET ENJOYMENT, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR USAGE OF TRADE. SHOWSPHERE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT INFORMATION PROVIDED BY USERS, CLUB/ACTIVITY/EVENT/SERVICE OWNERS, GOVERNING BODIES, OR OTHER THIRD PARTIES WILL BE ACCURATE OR COMPLETE. SHOWSPHERE MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE PLATFORM IS APPLICABLE OR APPROPRIATE FOR USE IN LOCATIONS OUTSIDE OF THE UNITED STATES.

NOTHING IN THESE TERMS OF SERVICE OR IN ANY ORAL OR WRITTEN DESCRIPTION OF THE PLATFORM WILL CONSTITUTE A REPRESENTATION OR WARRANTY WITH RESPECT TO THE PLATFORM.

YOU ACKNOWLEDGE, BY YOUR USE OF THE PLATFORM, THAT SUCH USE IS AT YOUR SOLE RISK.

SOME FEATURES OF THE PLATFORM MAY UTILIZE ARTIFICIAL INTELLIGENCE OR MACHINE LEARNING TECHNOLOGIES. SHOWSPHERE DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OUTPUT GENERATED BY SUCH TECHNOLOGIES. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND VERIFYING ANY SUCH OUTPUT BEFORE RELYING ON IT.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOWSPHERE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO (1) THE USE OF OR INABILITY TO USE THE SHOWSPHERE PLATFORM; (2) ANY ENTRY, REGISTRATION, PAYMENT, OR OTHER TRANSACTION CONDUCTED THROUGH OR FACILITATED BY SHOWSPHERE; (3) ERRORS, OMISSIONS, DELAYS, INTERRUPTIONS, OR INACCURACIES IN THE PLATFORM OR INFORMATION TRANSMITTED THROUGH IT; (4) UNAUTHORIZED ACCESS TO OR ALTERATION OF USER DATA; OR (5) ANY OTHER MATTER RELATING TO THE SHOWSPHERE PLATFORM OR SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, SHOWSPHERE WILL NOT BE LIABLE FOR MISSED OR REJECTED ENTRIES, MISSED CLOSING DATES OR DEADLINES, EVENT CANCELLATIONS OR CHANGES, DISQUALIFICATIONS, LOSS OF ELIGIBILITY, POINTS, PLACEMENTS, AWARDS OR PRIZES, OR FOR RELATED TRAVEL, LODGING, HANDLER, TRANSPORTATION, ENTRY, OR OTHER EXPENSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOWSPHERE'S TOTAL LIABILITY FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION ARISING OUT OF OR RELATING TO THE PLATFORM, SERVICES, OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow exclusions of or limitations on implied warranties, exclusion or limitation of certain damages, or limitations of liability. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply to you, and you might have additional rights. In those jurisdictions, ShowSphere's liability will be limited to the greatest extent permitted by applicable law.

20. Release and Indemnification

You agree to release us and our officers, directors, employees, contractors, affiliates, and agents, from any and all liability and obligations whatsoever in connection with or arising from your use of the Platform. If at any time you are not satisfied with the Platform or object to any material within the Platform, your sole remedy is to cease using the Platform.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless ShowSphere and its officers, directors, employees, contractors, affiliates, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to: (i) your access to or use of the Platform; (ii) your misuse of the Platform; (iii) your violation of these Terms or applicable law, be it through a failure to perform under these Terms or your breach of any representations or warranties made under these Terms; (iv) your infringement of another person's rights; (v) User Content or information submitted by you; or (vi) any dispute between you and a third party. This provision does not require you to indemnify ShowSphere for claims resulting solely from ShowSphere's own negligence or willful misconduct.

21. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. Except for claims that qualify for small claims court or claims seeking injunctive relief relating to intellectual-property rights, any dispute arising out of or relating to these Terms or the Platform will be resolved through binding individual arbitration rather than in court, to the extent permitted by applicable law. Arbitration will be administered by the American Arbitration Association under its applicable consumer or commercial arbitration rules. YOU AND SHOWSPHERE AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Nothing in this section prevents either party from bringing an eligible individual claim in small claims court.

22. Governing Law & Venue

These Terms and any dispute not subject to arbitration will be governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Subject to the arbitration provision above, the parties consent to the exclusive jurisdiction and venue of the state courts located in New Castle County, Delaware, and the United States District Court for the District of Delaware, except where applicable law requires otherwise.

23. Termination

ShowSphere may suspend or terminate your access to the Platform for violation of these Terms, suspected fraud or misuse, conduct that threatens the security or operation of the Platform, or where reasonably necessary to comply with applicable law. Users may discontinue use of the Platform at any time, subject to outstanding payment obligations and applicable subscription terms.

24. Platform Modifications

ShowSphere reserves the right to modify, update, suspend, or discontinue the Platform or any features or functionality thereof at any time, with or without notice, and without liability to you or any third party. ShowSphere may also impose limits on certain features or restrict access to parts or all of the Platform without notice or liability.

25. External Links

The Platform may contain links to other websites that are not under our control. Additionally, other websites may contain links to the Platform. We do not review or monitor the websites linked to the Platform and we are not responsible for the content or policies of any other websites. Any link established by us does not constitute an endorsement of the other websites or create a relationship between us and the operators of other websites. We disclaim any liability with respect to your use of any other website, and you release us from any liability related to your use of any link to another website or your use of any other website. Where the Platform contains a link to another website owned and/or operated by us, such website use may be subject to different and additional terms of use and privacy policy terms and conditions.

26. Third-Party Services

The Platform may integrate with or rely upon third-party services, including payment processors, communications providers, third-party data or information providers, and other technology providers. ShowSphere is not responsible for the availability, accuracy, security, policies, or performance of third-party services outside of our reasonable control. For such third-party functionality, you will need to review the terms of use and privacy policy for that third party, which in some cases may require you to visit that party’s website and locate the terms of use and privacy policy. Your review should include determining whether such terms and policy are acceptable to you. If they are not, do not use the associated functionality on the Platform.

27. Aggregated Data

You hereby grant us and our providers a non-exclusive, perpetual, irrevocable, fully-paid-up, royalty free license to use data derived from your use of the Platform (the "Aggregated Data") for our business purposes and the business purposes of our providers. Aggregated Data does not include (directly or by inference) any information identifying you or your household or any other identifiable individual or household.

For purposes of this Section “Aggregated Data” means data that has been de-identified in accordance with applicable law, including the California Consumer Privacy Act, such that it cannot reasonably be used to infer information about, or otherwise be linked to, a particular consumer or household.

You further grant us and our providers the right to (i) use the Aggregated Data in any aggregate or statistical products or reports, (ii) disclose Aggregated Data in a summary report that does not show, display or indicate customer specific or customer identifying information, and (iii) use the Aggregated Data (without personally identifiable information) to compare with other organizations within the same industry or group.

28. Language

English has been used in the preparation of these Terms of Service, and English shall be the controlling language with respect to these Terms of Service and their interpretation. Any and all communications relating to the Platform must be in the English language.

29. No Waiver

Any failure by us to enforce any provision of these Terms of Service shall not be construed as a waiver of any provision or the right to enforce same.

30. Entire Agreement & Severability

These Terms, together with the ShowSphere Privacy Policy, found here and any additional terms presented for specific services, constitute the agreement between you and ShowSphere concerning use of the Platform. If any provision is determined to be unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

31. Survival

The following provisions will survive any termination or expiration of these Terms: Intellectual Property Ownership, User Content, Photos & Results Publicity License, Disclaimer of Warranties, Limitation of Liability, Release and Indemnification, Dispute Resolution, Governing Law & Venue, and any other provisions that by their nature should survive.

32. Assignment

ShowSphere may freely assign or transfer these Terms and its rights and obligations hereunder, in whole or in part, without your consent. You may not assign, transfer, or sublicense these Terms or any of your rights or obligations hereunder without ShowSphere’s prior written consent. Any attempted assignment in violation of this provision is void.

33. Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
